On top of the ordinary federal income tax, there is a 20% excise tax on golden parachute payments to the recipient, and the golden parachute payment is not a tax-deductible expense for the employer. IRC 280G.

@ billfitz, the IRA is still included in the estate valuation. The kids just don't have to pay taxes on the stepup. So he avoids paying 35% while he's alive, only to pay 55% when he's dead.

Ever hear of a SEP? If you are self-employed and earn $250K, you can LEGALLY put away $50K a year.
Even if you don't make that much, you can still always make NONDEDUCTIBLE IRA contributions, which are treated like Roth IRAs after 2010.
